Terms and Conditions

Please read these Terms and Conditions carefully before using the Adiz Spaces application (“Application”, “App”). By downloading, installing, or using Adiz, you (“You”, “User”) agree to be bound by these Terms. If you do not agree, do not use the App.

1. Definitions

• Application (“App”): The Adiz Spaces makeover mobile application.
• Company (“We”, “Us”, “Our”): Adiz Spaces.
• Content: Photos, text, images, or other material uploaded or created by You, including generated images.
• Device: Any mobile device, tablet, or computer used to access the App.
• Third-Party Services: Services or content provided by third parties that may be integrated with the App.

2. License Grant

• We grant You a revocable, non-exclusive, non-transferable, limited license to download and use the App strictly in accordance with these Terms.
• The App is licensed, not sold to You.

3. User-Generated Content (UGC) & Content Retention

• You retain ownership of photos or other content you upload as “Input” to the App.
• By uploading content, you grant Adiz Spaces a worldwide, non-exclusive, royalty-free license to use, process, display, and distribute your content solely for providing the App's services (e.g., makeover generation, AI processing).

You are solely responsible for the content you upload and agree not to post content that is:

• illegal, offensive, defamatory, abusive, or violates others' rights.
• infringing any intellectual property, privacy, or publicity rights of others.
• exploiting, harming, or attempting to harm minors in any way.
• generating or disseminating false information or content with the purpose of harming others.
• generating or disseminating personal identifiable information that can be used to harm an individual.
• defaming, disparaging, harassing others, or discriminating based on legally protected characteristics.
• containing any malicious code, such as viruses, worms, or other potentially harmful programs.
• using copyrighted and/or trademarked materials as input content without proper authorization.

Content Retention Policy: Please be aware that generated images or other user content may be subject to deletion from our servers after a period of approximately 24 to 36 hours after generation, for operational or storage management purposes. We recommend that you download and save any content you wish to retain permanently. We are not responsible for lost content due to this retention policy.

4. Content Moderation

• We may use automated or manual techniques to review uploaded content.
• We reserve the right to remove or block content without notice if it violates these Terms.
• We are not responsible for any content posted by users.

5. Privacy & Data Usage

• We collect and process personal data (including uploaded photos) as described in our Privacy Policy.
• By using the App, You consent to our data practices.
• Uploaded photos may be temporarily stored for processing but are not shared with third parties without your consent (except as required by law).

6. Age Restriction

• Users must be at least 13 years old to use the App.
• If you are under 18, you confirm that you have obtained parental/guardian consent to use the App and agree to these Terms.

7. Subscriptions & Payments

The App offers auto-renewable subscriptions to unlock premium features and image generation credits, and may offer other in-app purchases.

By purchasing a subscription or other in-app item, you agree to the pricing and payment terms presented to you at the time of purchase.

7.1. Subscription Plans:

The following auto-renewable subscription plans are available:

Note: All prices are listed in United States Dollars (USD). In-app display prices may be shown in your local currency and may vary based on your geographic location and applicable taxes or exchange rates.

For subscriptions, 1 credit equals 1 image generation.

7.2. Auto-Renewal for iOS Users:

• Payment will be charged to your Apple App Store Account at confirmation of purchase.
• Subscriptions automatically renew unless auto-renew is turned off at least 24-hours before the end of the current period.
• Your account will be charged for renewal within 24-hours prior to the end of the current period, and the cost of the renewal will be identified.
• Subscriptions may be managed by the user, and auto-renewal may be turned off by going to the user's Account Settings after purchase.
• Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.
• You can cancel a free trial or subscription anytime by turning off auto-renewal through your iTunes account settings. This must be done 24 hours before the end of a free trial or subscription period to avoid being charged. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the free service.

7.3. Restore Purchases and Data:

For iOS users, a “Restore” button is provided on the purchase screen to facilitate the restoration of active subscriptions and associated user data.

• Active Subscriptions: If you have an active subscription, clicking the “Restore” button will reactivate your subscription on your current device and retrieve all related data associated with your user account.
• Past Data (No Active Subscription): If you do not have an active subscription but wish to retrieve your past user data (e.g., generated images, settings) that may have been stored, clicking the “Restore” button will attempt to restore this data to your current or requested device, provided it is associated with the same user account.
• Data Availability: Restoration of data is dependent on the availability of that data on our servers, which is subject to our Content Retention Policy (Section 3).

7.4. Refunds:

All purchases made through the Apple App Store are subject to Apple's refund policies. We do not provide direct refunds for purchases made via the App Store. Please contact Apple Support for any refund requests.

8. Third-Party Services

• The App may display or link to third-party services or content.
• We are not responsible for their accuracy, legality, or security.
• You acknowledge and agree that you use third-party services at your own risk.

9. Termination

• We may suspend or terminate your access to the App and your account at any time for violations of these Terms or for any other reason, at our sole discretion, with or without notice.
• You may terminate this Agreement by deleting the App from your device.
• Upon termination, all rights granted to You will cease immediately.

10. Intellectual Property

All rights, title, and interest in and to the App, its software, design, associated content, and brand, including all intellectual property rights, remain with Adiz Spaces or its licensors.

You may not copy, modify, reverse-engineer, decompile, disassemble, or distribute the App or any derivative works based on it.

Regarding User Content (Input and Output from the App): You retain ownership of your Input. You own the Output generated by the App based on your Input, subject to your compliance with these Terms. Please note that due to the nature of machine learning, other users may receive the same or similar Output as you receive.

11. No Warranties

• The App is provided “AS IS” and “AS AVAILABLE”.
• We make no guarantees that the App will be error-free, uninterrupted, secure, or meet your expectations.
• We disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

You are solely responsible for all activity and transactions made under your account. The Company shall not be liable for losses, damages, or disputes related to your account balance, credits, or activities, except where such liability cannot be excluded under applicable law, or for direct damages caused by our gross negligence or willful misconduct.

We are not liable for:

• loss of data or photos, including due to our content retention policy.
• indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits or revenues.
• unauthorized access to your content.
• any damages arising from your misuse of the App, including breaches of intellectual property rights of third parties.

13. Indemnification

You agree to indemnify and hold Adiz Spaces, its affiliates, officers, directors, agents, and employees harmless from any claims, demands, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of or in connection with:

• your use of the App.
• your violation of these Terms.
• your infringement of any intellectual property, privacy, or other rights of any third party.
• any content you upload, generate, or share through the App.

14. Changes to Terms

• We may update these Terms at any time, at our sole discretion.
• We will notify you of significant changes by posting the new Terms on this page or through the App.
• Continued use of the App after updates means You accept the revised Terms.

15. Governing Law

• These Terms are governed by and construed in accordance with the laws of India (Gujarat jurisdiction), without regard to its conflict of law principles.
• You agree to submit to the exclusive jurisdiction of the courts located in Gujarat, India for the resolution of any disputes.
• Local or international laws may also apply depending on your location, and you are responsible for compliance with such laws.

16. Entire Agreement

These Terms constitute the entire agreement between You and Adiz Spaces regarding the App, superseding any prior agreements or understandings.
